April 6 Special Meeting, and, Annual Meeting Announcement

NOTICE TO PBE POA PROPERTY OWNERS:

APRIL 6 SPECIAL MEETING

The PBE POA will hold a special meeting followed by our annual meeting:

  • April 6, 2019

  • 4142 Newman’s Neck Road (Williams’ residence)

  • 1:00 PM (Special Meeting); Annual meeting to follow

  • Light refreshments will be available

  • The purpose of the April 6 meeting is to change our Bylaws to establish March or April as the date for our annual meeting.

Currently the Bylaws establish May/June as the annual meeting date:

Section 4.01 Annual Meetings.  The annual meeting of the Association, for the purpose of conducting the election of Directors and for the transaction of such business as may properly come before the meeting, shall be held in May or June at the time fixed by the Board of Directors.

The procedure for changing the Bylaws is established in Article 11. Amendments

 Section 11.02 By the Members.  At any annual or special meeting, the Bylaws may be amended by a two-thirds vote of the members entitled to vote, in person or by proxy, if notice of such amendments has been provided in advance pursuant to section 4.04.

Section 4.04 requires such notice to be provided to members at least seven days before the special meeting at which a Bylaws change is to be considered.

For several reasons to be discussed at the April 6 meeting, the POA Board of Directors proposes to change the bylaws to read as follows (changed wording in RED BOLD):

Section 4.01 Annual Meetings. The annual meeting of the Association, for the purpose of conducting the election of Directors and for the transaction of such business as may properly come before the meeting, shall be held in March or April at the time fixed by the Board of Directors.

 This communication serves as the notice of (1) a special meeting, and, (2) proposed Bylaws change as required by the PBE POA Bylaws.

The PBE POA will hold a special membership meeting on April 6, 2019, beginning at 1:00 PM, 4142 Newman’s Neck Road (the Williams’ residence).  A full announcement is below.

The special membership meeting will be from 1:00 to approximately 1:20, followed by the annual membership meeting at 1:30 PM (approximately).

Neighborhood garden plot is on the way!!

Thanks to our neighbor Susan McKee, we soon will have a plot of native plants and wildflowers at the entrance to the neighborhood.

As you enter the neighborhood, on your left between the Cooper and Catterton homes, you will see red marker flags that outline a 50 ft X 10 ft area, which is our garden plot.  The plot will be divided into five 10 X 10 plots and anyone who wants can adopt one of these plots.

In April, the gentleman who cuts the big common area will till the garden plots to prepare the soil after which the plot will be ready for planting.

The garden plot will add color to the neighborhood entrance.

Purpose of this special meeting. 

  • Our bylaws require an annual meeting in late May/early June.  However, over the years, this has proven to be not the best date for several reasons.
  • This meeting will: (1) explain the problems with the current annual meeting date; and, (2) propose a change in the bylaws to hold the annual meeting in late March/early April.
  • Property owners will be asked to vote for the bylaws change to the annual meeting date.
  • This April 6 meeting will serve as our 2019 annual meeting.

MAY 26 PICNIC

Our Association annual picnic will be held on Sunday, May 26, time to be announced; picnic area at the west end of Potomac Drive, at “The Beach.”

The Association will furnish hot dogs, hamburgers, buns, condiments, soda, water.  Bring you own beer or wine.

In addition to a dish to share (side dish, dessert, or both) and a chair to sit on, bring on your “shag,” as there will be plenty of Southern style beach music to dance away the holiday weekend!
